Terms of Service

These Terms of Service ("Terms") govern your access to and use of the InspectPilot AI platform, website, and related services (collectively, the "Service") operated by ADUscale, Inc. ("InspectPilot AI," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts to use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized use of your account.

3. Description of Service

InspectPilot AI provides AI-powered construction inspection management tools, including but not limited to:

• Automated inspection scheduling and request submission to municipal systems (e.g., LADBS iRFIS, AIRS, LA County EPIC-LA)
• Real-time inspection tracking and status monitoring
• Inspection sequence management and trade coordination
• Compliance documentation and record keeping
• AI-generated inspection readiness assessments

The Service is currently in early access / waitlist phase. Features, availability, and pricing are subject to change.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Submit false permit numbers, fabricated inspection data, or fraudulent information
• Attempt to gain unauthorized access to any part of the Service or related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts, bots, or scrapers to access the Service without our written permission
• Resell, redistribute, or sublicense access to the Service

5. Permit Data and Government Systems

The Service interacts with municipal inspection systems on your behalf. You acknowledge and agree that:

• You are solely responsible for the accuracy of permit numbers, project information, and inspection requests submitted through the Service.
• InspectPilot AI acts as your authorized agent when submitting inspection requests to government systems. You grant us permission to submit requests, check statuses, and retrieve results on your behalf.
• We are not responsible for government system outages, delays, or changes to inspection procedures that may affect the Service.
• Inspection results and scheduling are ultimately determined by the relevant government authority, not by InspectPilot AI.

6. Fees and Payment

Some features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our Pricing page. All fees are in U.S. dollars unless otherwise stated. We reserve the right to modify pricing with 30 days' written notice. Refund policies will be described in your subscription agreement.

7. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, icons, software, and underlying code — are owned by ADUscale, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8. Your Data

You retain ownership of the data you submit to the Service (permit information, project details, inspection records). By using the Service, you grant us a limited, non-exclusive license to use, process, and store your data solely for the purpose of providing the Service. Our handling of personal information is described in our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

InspectPilot AI does not guarantee that:

• Inspections will be scheduled or pass based on our AI recommendations
• The Service will be uninterrupted, error-free, or secure
• Information from government systems will be accurate or timely
• AI-generated assessments or predictions will be correct

The Service is a management and scheduling tool. It does not replace professional judgment, licensed inspection services, or your obligation to comply with all applicable building codes and regulations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADUSCALE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless ADUscale, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will remain in effect.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

Before filing a formal legal claim, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. If a dispute is not resolved within 30 days, either party may proceed with formal legal action as described in Section 14.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ADUscale, Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
